Acceptance of Terms
By accessing, subscribing to, or using AskCoach™ (“the Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions, including the User Disclaimer & Waiver. If you do not agree, you must not access or use the Service.

These Terms govern your use of AskCoach™, including all coaching, guidance, recommendations, reviews, expert access, communications, and related services.

Services Provided
AskCoach™ provides coaching, strategic guidance, reviews, feedback, and recommendations from a multidisciplinary team of business experts.

AskCoach™ does not provide done-for-you services. This includes, without limitation, executing strategies, building websites, writing copy, managing advertising campaigns, implementing funnels, or performing operational tasks on behalf of users.

All guidance is advisory in nature. Users are solely responsible for implementation, execution, and decision-making.

Growth Partner Model
All users are assigned an AskCoach™ Growth Partner as their sole point of contact.

Users acknowledge and agree that:

• They will not communicate directly with AskCoach™ experts.
  
• All requests are submitted via the Growth Partner.
  
• The Growth Partner determines which expert(s) are involved.
  
• The Growth Partner may consolidate, layer, or sequence expert input.
  

This model exists to protect confidentiality, ensure relevance, maintain efficiency, and deliver actionable guidance.

Expert Availability & Substitution
AskCoach™ reserves the right to add, remove, replace, rotate, or reassign experts at any time, with or without notice.

Access is provided to the AskCoach™ platform and its collective expertise, not to any specific individual. No guarantee is made regarding the ongoing availability of any particular expert.

Changes to expert personnel do not entitle users to refunds, credits, or compensation.

Service availability may vary during Australian public holidays. AskCoach™ is closed on all public holidays.

Payment & Refund Policy
Users are responsible for all fees associated with their selected subscription tier.

Tier 1 users pay a monthly subscription fee of $99 USD plus a 5% profit share, capped at $2,500 USD per month, based on self-reported revenue. Tier 2 users pay a fixed monthly subscription fee of $999 USD, with no profit share. All fees must be paid on time to maintain access to the Service.

AskCoach™ offers a 14-Day Love It or Your Money Back Guarantee. If a user is not satisfied within 14 days of joining, we will refund subscription fees paid. This guarantee applies to subscription fees only and does not waive Tier 1 profit share obligations for revenue generated during that period.

Profit Share Terms (Tier 1)
Profit share operates on trust and good faith. AskCoach™ does not audit financial records, request proof of revenue, or monitor accounts.

Users are responsible for accurate self-reporting and timely payment of profit share, up to the monthly cap. Failure to report or remit profit share constitutes a breach of these Terms.

Professional Advice Disclaimer
AskCoach™ does not provide legal, financial, accounting, tax, investment, medical, or regulated professional advice.

All guidance is general business coaching and strategy only. Users are encouraged to seek independent professional advice before making financial, legal, or operational decisions.

Fiduciary Disclaimer
No fiduciary relationship is created between AskCoach™, its Growth Partners, experts, or users.

AskCoach™ does not act as a partner, agent, employee, or decision-maker for the user’s business. All decisions remain solely with the user.

No Guarantees
AskCoach™ makes no guarantees regarding revenue, profits, growth, outcomes, or success.

Results depend on execution, market conditions, timing, competition, and user decisions. Past results do not guarantee future outcomes.

Intellectual Property
All content, frameworks, methodologies, recommendations, and materials provided by AskCoach™ remain the intellectual property of AskCoach™.

Users receive a limited, non-exclusive, non-transferable licence for personal business use only. Redistribution, resale, replication, or commercial use without written consent is prohibited.

User Responsibilities
Users agree to:

• Provide accurate information
  
• Act in good faith
  
• Use the Service lawfully
  
• Take responsibility for decisions and actions
  

AskCoach™ is not responsible for outcomes resulting from user implementation or non-implementation.

Confidentiality
AskCoach™ maintains strict confidentiality of user submissions and business information.

Users agree not to disclose proprietary AskCoach™ processes, methodologies, or internal communications.

Response Timeframes & Operating Schedule
AskCoach™ aims to respond within 24 hours during operating days. Some submissions may require layered analysis or multiple experts, which may extend response times.

Operating days are Monday to Saturday, Australian Eastern Time (Sydney, NSW). AskCoach™ does not operate on Sundays or any Australian public holidays.

Submissions made after 11:00 AM (AEST) on Saturdays, on Sundays, or on public holidays will be processed on the next business day.

Response times are indicative only and not guaranteed.

User Expectations & Fair Use
AskCoach™ provides unlimited submissions. However, usage must remain reasonable and fair.

If a user’s usage is excessive or disproportionately impacts service delivery, AskCoach™ may request prioritisation, consolidation, or pacing of submissions to ensure service quality for all members.

Limitation of Liability
To the maximum extent permitted by law, AskCoach™, its founders, employees, contractors, Growth Partners, and experts are not liable for any direct or indirect loss, including loss of profits, revenue, data, goodwill, or business opportunity.

Use of the Service is entirely at the user’s own risk.

Indemnification
Users agree to indemnify and hold harmless AskCoach™ from any claims, losses, damages, costs, or expenses arising from use of the Service, reliance on guidance, or breach of these Terms.
 

Waiver of Legal Action

Users waive any right to bring legal claims against AskCoach™, its representatives, or experts relating to guidance, advice, response timing, expert availability, or profit share.

Dispute Resolution

In the event of a dispute:

• Users must first contact AskCoach™ in writing
  
• Parties agree to attempt resolution in good faith
  
• If unresolved, mediation will be attempted before litigation
  
• Legal proceedings may only be commenced in NSW, Australia
  

Chargeback Protection
Users agree not to initiate chargebacks or payment disputes without first attempting resolution with AskCoach™. Unauthorised chargebacks constitute a breach of these Terms and may result in immediate termination and recovery of costs.

Force Majeure
AskCoach™ is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, outages, or governmental actions.

Termination & Suspension
AskCoach™ may suspend or terminate access for non-payment, misuse, breach of terms, or unlawful behaviour. Termination does not remove outstanding payment obligations.

Amendments
AskCoach™ may amend these Terms at any time. Continued use constitutes acceptance of updated terms.

Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law that cannot be excluded by law.

Liability Cap

To the extent permitted by law, AskCoach™’s total aggregate liability to any user under these Terms is limited to the total fees paid by the user in the 12 months preceding the claim.

Third-Party Platforms
AskCoach™ is not responsible for outages, security breaches, data loss, or delays caused by third-party platforms (e.g., Telegram, payment processors, hosting platforms).

No Partnership or Agency
Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between AskCoach™ and the user.

Health & Mental Health Disclaimer
AskCoach™ is not responsible for any mental, emotional, or psychological effects resulting from participation or use of guidance, recommendations, or submissions.

User Content & IP Risk
Users retain ownership of their submitted content and are responsible for ensuring submissions do not infringe third-party rights. AskCoach™ is not liable for claims arising from user content or actions taken based on guidance.

Survival of Key Terms
Clauses relating to Limitation of Liability, Indemnification, IP, Waivers, Chargeback Protection, and Governing Law survive termination or expiry of the user account.

Governing Law
These Terms are governed by the laws of New South Wales, Australia, and users submit to the exclusive jurisdiction of NSW courts.

Entire Agreement
This document constitutes the entire agreement between AskCoach™ and the user and supersedes all prior agreements or representations.

Severability
If any provision is deemed unenforceable, the remaining provisions remain in full force.

User Acknowledgment
By using AskCoach™, you confirm that you have read, understood, and agreed to these Terms & Conditions, User Disclaimer & Waiver in full.
